IMPORTANT: This End User License Agreement ("Agreement") is between you and Ultronite LLC. Ultronite LLC is solely responsible for the Formfex application and its content.
Licensed, Not Sold. The Formfex application is licensed, not sold, to you. Ultronite LLC reserves all rights in and to the Licensed Application not expressly granted to you.
1. Agreement to Terms and Acknowledgement
By accessing or using Ultronite LLC's website, products, or services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.
2. Use License and Scope
Permission is granted to access and use our web application and services for personal and commercial use in accordance with your subscription plan. Ultronite LLC grants you a limited, non-transferable, non-exclusive license to use the Formfex application on devices that you own or control.
Under this license you may not:
- Modify or copy the materials except as permitted by the application's features
- Attempt to decompile or reverse engineer any software
- Remove any copyright or proprietary notations
- Transfer the materials to another person
- Distribute or make the application available over a network where it could be used by multiple devices simultaneously beyond your account
- Transfer, redistribute, or sublicense the application
- Use the application to provide form building services to third parties without authorization
- Resell or white-label forms or form data generated through the platform
These Terms also govern any updates or upgrades that replace or supplement the original application, unless an update is accompanied by a different agreement.
3. User Accounts
When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for any activities under your account.
You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
Your forms, form responses, templates, and settings are stored on secure cloud infrastructure. If you delete your account, your data will be removed within 30 days. You are responsible for exporting any content you wish to retain before account deletion.
4. Maintenance and Support
Ultronite LLC is solely responsible for providing any maintenance and support services with respect to the Formfex application.
5. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Ultronite LLC and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
In the event of any third-party claim that the application or your possession and use of the application infringes that third party's intellectual property rights, Ultronite LLC will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
6. User Content
Our Service allows you to create, store, publish, and share forms, collect responses, generate AI content, and manage templates ("User Content"). You are responsible for the content you create and its legality, reliability, and appropriateness.
You retain ownership of all forms, templates, and other content you create in Formfex. You agree that Ultronite LLC may collect and use technical data and related information to facilitate software updates, product support, and other services related to the application, provided it is in a form that does not personally identify you. Form Response Data
When you publish a form and collect responses from respondents:
- You are the data controller for the response data collected through your forms
- You are responsible for ensuring your forms comply with applicable data protection laws
- You must inform respondents about how their data will be used
- Ultronite LLC acts as a data processor for form response data on your behalf
Data Processing Agreement (DPA)
For the purposes of GDPR Article 28 and similar data protection regulations, Ultronite LLC acts as a data processor when processing form response data on your behalf. A Data Processing Agreement (DPA) is available upon request. To obtain a copy, please contact us at support@formfex.com.
7. Product Claims and Responsibilities
You acknowledge that Ultronite LLC is responsible for addressing any claims relating to the application or your possession and/or use of the application, including but not limited to:
- Product liability claims
- Any claim that the application fails to conform to any applicable legal or regulatory requirement
- Claims arising under consumer protection, privacy, or similar legislation
8. Prohibited Uses and Legal Compliance
You agree not to use the Service:
- In any way that violates any applicable law or regulation
- To harass, abuse, or harm another person
- To impersonate or attempt to impersonate others
- To engage in any automated use of the system
- To attempt to gain unauthorized access to our systems
- To create forms containing illegal material or promoting illegal activities
- To use the AI features for generating harmful, offensive, or illegal content
- To attempt to manipulate or exploit the AI system
- To collect personal data through forms without proper consent or legal basis
- To create phishing forms or forms designed to deceive respondents
- To distribute spam or unsolicited forms
- To scrape, harvest, or collect data from the platform without authorization
You represent and warrant that:
- You are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country
- You are not listed on any U.S. Government list of prohibited or restricted parties
- You will comply with all applicable third-party terms of agreement when using the application
- You have the legal right to create and manage all content you add to the application
- You will comply with all applicable data protection laws when collecting data through your forms
9. Form Building Services Disclaimer
IMPORTANT NOTICE: Formfex is a form building and data collection platform. It is not:
- A legal compliance tool or legal advisor
- A substitute for professional data protection advice
- A guarantee of regulatory compliance (GDPR, CCPA, etc.)
- A medical, legal, or professional advisor
- A guarantee of data collection outcomes or response rates
The application provides tools for creating forms, collecting responses, and analyzing data. Any AI-generated content, form suggestions, or analytics insights are for informational purposes only and should not be considered professional advice. Always consult qualified professionals for important decisions.
We are not responsible for any outcomes, losses, or damages based on your use of the application or the data collected through your forms. You are solely responsible for your forms, data collection practices, and compliance with applicable laws.
10. Warranty and Disclaimer
Your use of our Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The application will be error-free or uninterrupted
- Form publishing and sharing will always function perfectly
- Data synchronization will always work perfectly
- The application will meet your specific data collection needs
- AI-generated forms, translations, or analytics will always be accurate or relevant
- Form response collection will be uninterrupted or complete
- Smart Analytics reports will provide accurate or actionable insights
Any claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Ultronite LLC's sole responsibility.
11. Limitation of Liability
In no event shall Ultronite LLC, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
To the extent not prohibited by law, in no event shall Ultronite LLC be liable for:
- Any losses resulting from incomplete or failed form response collection
- Loss of forms, templates, or response data
- Errors in AI-generated forms, translations, or analytics
- Failure to achieve data collection or analysis goals
- Any business, professional, or personal losses or damages
- Losses arising from unauthorized access to your forms or response data
In no event shall Ultronite LLC's total liability exceed the greater of fifty dollars ($50.00) or the total amount you paid us in the twelve (12) months preceding the claim. Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.
12. External Services
The application may enable access to Ultronite LLC's and/or third-party services and websites ("External Services"). You agree to use External Services at your sole risk. Ultronite LLC is not responsible for examining or evaluating the content or accuracy of any third-party External Services and shall not be liable for any such services.
Data displayed by the application or External Services is for general informational purposes only. Availability of External Services may vary by language or region and may be changed, suspended, removed, disabled, or limited at any time without notice or liability.
13. Data Privacy and Security
Your forms, form responses, templates, AI-generated content, and settings are stored on secure cloud infrastructure. You are responsible for:
- Maintaining the security of your devices and browser
- Exporting your content before account deletion if you wish to retain it
- Protecting your account credentials
- Ensuring your forms comply with applicable data protection laws
- Informing form respondents about data collection practices

14. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the application. Your data stored on our cloud infrastructure will be deleted within 30 days of account deletion or termination. Your Stripe subscription, if any, will be cancelled upon account deletion.
15. Export Restrictions
You may not use or export the application except as authorized by United States law and the laws of the jurisdiction in which the application was obtained. In particular, but without limitation, the application may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on any U.S. Government list of prohibited or restricted parties.
15A. U.S. Government End Users
The application and related documentation are "Commercial Items," consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation" as those terms are used in 48 C.F.R. §2.101, §12.212, and §227.7202. They are licensed to U.S. Government end users only as Commercial Items and with only those rights granted to all other end users under these Terms.
16. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Wyoming, USA, without regard to its conflict of law provisions.
Informal Resolution
Before filing any formal dispute, you agree to first contact us at support@formfex.com and attempt to resolve the dispute informally for at least 30 days.
Individual Arbitration
If informal resolution is unsuccessful, either party may elect to resolve the dispute through binding individual arbitration conducted in Sheridan County, Wyoming, in accordance with applicable arbitration rules.
Class Action Waiver
You agree that any dispute resolution will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive the right to participate in class action lawsuits or class-wide arbitration.
Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.
Consumer Rights: Nothing in this section limits any non-waivable consumer rights you may have under the laws of your usual place of residence.
17. Changes to Terms
We reserve the right to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last updated" date.
For material changes that significantly affect your rights, we will notify you at least 30 days before the changes take effect via email to the address associated with your account. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
18. Subscriptions & Billing
If you purchase a subscription:
Automatic Renewal Notice
Your subscription will automatically renew at the then-current rate unless you cancel before the renewal date. You can cancel at any time from Account Settings > Billing > Manage Subscription (Stripe Customer Portal). No further charges will be made after cancellation, and you will retain access until the end of your current billing period.
Web Subscriptions (Stripe)
- Auto-Renewal: Subscriptions auto-renew at the then-current rate unless cancelled before the current period ends.
- Manage/Cancel: You can manage or cancel your subscription through Account Settings > Billing > Manage Subscription (Stripe Customer Portal).
- Payment: Processed securely through Stripe. We do not store any credit card numbers or payment method details.
- Plan Tiers: Free, Starter, Pro, and Max plans are available with monthly and annual billing options.
- Plan Changes: You can upgrade or downgrade your plan at any time through the Stripe Customer Portal.
- Refunds: First-time subscribers may request a full refund within 14 days of their initial purchase. Annual plan subscribers who cancel after the 14-day window may receive a pro-rata credit for the unused portion of their term. Monthly plan subscribers are not eligible for partial-month refunds. To request a refund, contact support at support@formfex.com.
- Credits: AI credits are allocated based on your plan tier and reset monthly. Unused credits do not roll over to the next billing period.
19. AI Features Terms
How It Works
- Generates forms from natural language prompts
- Generates forms from uploaded PDF documents (RAG)
- Edits and refines existing forms through conversational AI chat
- Translates forms into different languages
- Generates Smart Analytics reports from form response data
- Provides conversational analytics (Ask Your Data) for querying form responses
Your Choice
- AI features are entirely optional
- Core form building, publishing, and response collection work without AI
- Free plan includes limited AI credits per month
- Paid plans offer expanded AI credits (subject to Fair Use Policy — see Section 20)
Disclaimers
- AI-generated forms and content are provided as suggestions and starting points
- AI features are not a substitute for professional form design or data analysis
- AI-generated content may contain inaccuracies and should be reviewed before use
- Smart Analytics reports are algorithmically generated and may not capture all nuances of your data
- AI translations should be reviewed for accuracy before publishing
You acknowledge that AI responses are generated algorithmically and may contain errors. You are responsible for reviewing and validating all AI-generated content before publishing or sharing.
20. Fair Use Policy
While paid plans include expanded AI features, these features are subject to our Fair Use Policy. This policy ensures quality service for all users and prevents abuse of the system.
Fair Use Means
- Using AI features for creating and managing your own forms
- Creating reasonable numbers of forms, translations, and analytics reports
- Normal usage patterns typical of an individual or team
- Using features as intended for form building and data collection
NOT Fair Use (Prohibited)
- Automated or bot-driven usage of the AI features
- Sharing your account or AI access with multiple unauthorized users
- Using the service for bulk content generation unrelated to form building
- Excessive API calls that degrade service quality for others
- Attempting to extract, scrape, or reverse-engineer the AI system
- Using the AI for generating content unrelated to forms and data collection
- Reselling or sublicensing access to the AI features
- Creating forms or content for resale to other businesses
- Any usage that impacts system performance or other users' experience
Usage Monitoring
We may monitor usage patterns to ensure compliance with this Fair Use Policy. Excessive usage is determined at our sole discretion based on:
- Comparison to typical user behavior
- AI credit consumption patterns
- System resource consumption
- Patterns suggesting automated usage
- Impact on service availability for other users
Enforcement
If we determine your usage violates this Fair Use Policy, we may:
- Send you a warning with usage guidelines
- Temporarily limit or throttle your AI requests
- Require you to modify your usage patterns
- Suspend AI features while maintaining other application access
- Terminate your account for severe or repeated violations
We will make reasonable efforts to notify you before taking enforcement action, except in cases of severe abuse requiring immediate action to protect the service.
21. Eligibility
You represent that you are at least 13 years old (or the minimum age of digital consent in your country) or that you have your parent/ guardian's consent. If you are under 18, you may use the application only with the involvement of a parent or guardian.
22. Communications & Notifications
By creating an account, you may receive service-related emails (e.g., account verification OTP, password reset, form access OTP codes, subscription confirmations). These transactional emails are necessary for application functionality and cannot be opted out of while your account is active.
23. Open-Source and Third-Party Components
The application may include open-source or third-party software subject to separate licenses. To the extent of a conflict, those licenses govern your use of the relevant components.
24. Indemnification
You agree to defend, indemnify, and hold harmless Ultronite LLC, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:
- (a) your use of the application
- (b) your violation of these Terms
- (c) your violation of any third-party rights, including intellectual property or privacy rights
- (d) any content you create or collect through the application
- (e) any losses claimed to result from your use of the application
- (f) any data protection violations arising from your form data collection practices
25. Force Majeure
Ultronite LLC will not be liable for any failure or delay in performance under these Terms which is due to fire, earthquake, flood, pandemic, government action, war, terrorism, network failures, or other causes beyond our reasonable control.
26. General Terms
- Severability: If any provision is invalid, the remaining provisions remain in effect.
- No Waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms; we may assign them as permitted by law.
- Survival: Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute terms survive termination.
- Entire Agreement: These Terms are the entire agreement between you and us regarding the application.
